Adjustment of status is the ability to apply for permanent residence (green card) without leaving the US.   Only those who entered the US lawfully and are an immediate relative of a US citizen, are eligible to apply for adjustment.  The benefit of adjustment of status is being able to stay with your citizen family member in the US while your application for adjustment is being processed even though your original visa has expired.

The immediate relatives of permanent residents must maintain valid visa status throughout the adjustment process until they receive their green cards.
